Subject: Registration of amendments to the Articles of Association of the Company

Legal basis: Art. 56 (1) (2) of the Public Offering Act - current and periodic information

The Management Board of Captor Therapeutics S.A., with its registered office in Wrocław (the “Company”), informs that on December 15, 2025, the competent registry court registered an amendment to the Company's Articles of Association made pursuant to Resolution No. 20 of the Company's Annual General Meeting of Shareholders of June 26, 2025

The registered amendment to the Company's Articles of Association involves updating the PKD codes in connection with the introduction of the PKD 2025 classification and incorporating into the Articles of Association changes in the law regarding sustainable development reporting. It consists of:

- adopting a new wording of § 5 (1) of the Company's Articles of Association, in the following wording:

“1. The Company's business activities include:

1. scientific research and experimental development in natural sciences and engineering (PKD 72.10.Z);
2. manufacture of basic pharmaceutical products (PKD 21.10.Z);
3. manufacture of pharmaceutical preparations (PKD 21.20.Z);
4. technical testing and analysis (PKD 71.20);
5. manufacture of other basic organic chemicals (PKD 20.14.Z);
6. manufacture of other chemical products n.e.c. (PKD 20.59.Z);
7. retail sale of other new goods in specialized stores (PKD 47.78.Z);
8. other professional, scientific and technical activities n.e.c. (PKD 74.99.Z).”

• adding point 15) to § 27 of the Company's Articles of Association, with the following wording:

“15) if the Company becomes subject to sustainability reporting assurance requirements under the Act of 11 May 2017 on Statutory Auditors, Audit Firms and Public Oversight (consolidated text: Journal of Laws 2024, item 1035) - selecting the entity to perform such assurance engagement.”

The consolidated text of the Company's Articles of Association incorporating the amendments referred to above is attached to this report.
