Subject: Registration of share capital increase and amendments to the Company's Articles of Association

Legal basis: Article 56(1)(2) of the Act on Offering - current information.

The Management Board of Captor Therapeutics S.A. with its registered office in Wrocław (the "Company") announces that on 19 September 2023, the registry court having jurisdiction over the Company registered an amendment to the Company's Articles of Association made on the basis of the Company's Management Board's Resolution No. 2 of 25 July 2023 on the issue of 25,271 series O ordinary bearer shares, within the limits of the Company's authorised capital, excluding the pre-emptive rights of the Company's existing shareholders in full (of which the Company informed on 25 July 2023 in current report No. 29/2023). The shares were issued as part of the Company's incentive programme.

The Company's current share capital amounts to PLN 424,571.20 and is divided into 4,245,712 shares with a nominal value of PLN 0.10 per share. The total number of votes attached to all shares in the Company is 5,393,105.

The Company's share capital consists of the following shares:

1. 799,750 Series A registered preference shares (each share carries 2 votes at the Company's general meeting);
2. 1,757,075 Series B ordinary bearer shares;
3. 82,449 Series C ordinary bearer shares;
4. 97,051 ordinary D series bearer shares;
5. 347,643 Series E registered preference shares (each share carries 2 votes at the Company's general meeting);
6. 26,925 series F ordinary bearer shares;
7. 871,500 series G ordinary bearer shares;
8. 52,354 H series ordinary bearer shares;
9. 9,082 Series I ordinary bearer shares;
10. 84,143 Series J ordinary bearer shares;
11. 30,738 ordinary series K bearer shares;
12. 9,420 series L ordinary bearer shares;
13. 41,019 series M ordinary bearer shares;
14. 11,292 ordinary N series bearer shares;
15. 25,271 ordinary O series bearer shares.

Within the scope of the Company's authorised capital, the Company's Board of Management may issue a further 110,422 shares for the purpose of implementing the incentive programme (§ 6a of the Company's Articles of Association) and 1,222,467 for the purpose of so-called investment capital (§ 6b of the Company's Articles of Association).

The registered amendment to the Company's Articles of Association consists in the adoption of the new wording of § 6.1 of the Company's Articles of Association, in the following wording:

"§ 6

The Company's share capital amounts to 424,571.20 (four hundred and twenty-four thousand five hundred and seventy-one zlotys and 20/100) and is divided into 4,245,712 (four million two hundred and forty-five thousand seven hundred and twelve) shares with a nominal value of PLN 0.10 (ten cents) each, including:

1. 799,750 (seven hundred and ninety-nine thousand seven hundred and fifty) series A registered preference shares;
2. 1,757,075 (one million seven hundred and fifty-seven thousand and seventy-five) Series B ordinary bearer shares;
3. 82,449 (eighty-two thousand four hundred and forty-nine) Series C ordinary bearer shares;
4. 97,051 (ninety-seven thousand and fifty-one) Series D ordinary bearer shares;
5. 347,643 (three hundred and forty-seven thousand six hundred and forty-three) series E registered preference shares;
6. 26,925 (twenty-six thousand nine hundred and twenty-five) series F ordinary bearer shares;
7. 871,500 (eight hundred and seventy-one thousand five hundred) series G ordinary bearer shares;
8. 52,354 (fifty-two thousand three hundred and fifty-four) H series ordinary bearer shares;
9. 9,082 (nine thousand eighty-two) Series I ordinary bearer shares;
10. 84,143 (eighty-four thousand one hundred and forty-three) Series J ordinary bearer shares;
11. 30,738 (thirty thousand seven hundred and thirty-eight) series K ordinary bearer shares;
12. 9,420 (nine thousand four hundred and twenty) series L ordinary bearer shares;
13. 41,019 (forty-one thousand and nineteen) series M ordinary bearer shares;
14. 11,292 (eleven thousand two hundred and ninety-two) series N ordinary bearer shares; and
15. 25,271 (twenty-five thousand two hundred and seventy-one) series O ordinary bearer shares."
